Terms and Conditions 

Please read these Terms of Use (“Terms”, “Terms of Use”) carefully before using the https://swapeki.com website (the “Service”) operated by Swapeki (“us”, “we”, or “our”). 

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service. 

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service. 

Accounts 

When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service. 

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service. 

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. 

Intellectual Property 

The Service and its original content, features and functionality are and will remain the exclusive property of Swapeki and its licensors. 

Amendment of Terms  

Swapeki may amend the Terms from time to time. You should visit the terms and conditions page on the Platform regularly to check when the Terms were last updated (as displayed at the top of this document) and to review the current Terms. We will do our best to notify you of any amendments to the Terms that we consider likely to materially affect your rights and obligations. Any such notice will be posted on the Platform, or sent to the email address associated with your Swapeki Account.  

The continued use of your Swapeki Account after any amendment to these Terms constitutes your acceptance of the Terms, as modified by such amendment. If you do not accept the Terms, or any amendment to them, you must immediately stop using the Platform and your Swapeki Account.  

Registration and Onboarding  

Where any part of the Platform requires you to register in order to use it, you are obliged to provide accurate and complete registration information. It is your responsibility to update and maintain any changes to that information by altering your details as appropriate.  

The Platform shall allow you access to use registration areas of the Platform on the basis that:  

1. You satisfy all the eligibility criteria stipulated in clause 3 below.  

1. Your personal details, including your email address and password, are personal to you and may not be used by anyone else.  

1. You shall not do anything to assist anyone who is not a registered user to gain unauthorized access to any area of the Platform or use your account to carry out transactions on behalf of a third party.  

1. You submit and consent to all verification of all KYC documentation, including but not limited to BVN validation and anti-money laundering checks conducted by Swapeki in compliance with applicable laws.  

1. You will not use your Swapeki Account for or in relation to any illegal or prohibited activity in violation of any laws, statutes, ordinances, or regulations.  

1. You shall not maliciously create accounts for the purpose of abusing the functionality of the Platform, or other users, nor seek to pass yourself off as another user.  

1. You are responsible for all activities that occur under your account, regardless of whether the activities are undertaken by you, your employees, or a third party (including a spouse, children, and other relatives). Except to the extent caused by our breach of these Terms:   

1. We and our affiliates shall not be responsible for unauthorized access to your account.  

1. You will contact us immediately if you notice an unauthorized third party may be using your account or if your account information is lost or stolen.  

1. You shall comply at all times with the terms herein (as may be amended from time to time).  

By opening a Swapeki Account, you expressly warrant and represent that:  

• You are 18 years of age or over and have full capacity to accept the Terms and enter any transaction available through the Platform.  

• You will not open or attempt to open a Swapeki Account under any name except your own or use your Swapeki Account to carry out transactions on behalf of a third party.  

• You will follow the Swapeki business account application process if you seek to open and use a Swapeki Account for a non-individual legal entity (e.g., a company, trust, or partnership).  

• You will not have more than one Swapeki Account; use or access any Swapeki Account other than your own; or assist any other person in obtaining unauthorized access to any Swapeki Account.  

• You will provide security for transactions carried out through your Swapeki Account by ensuring there is sufficient Local Currency or digital currency (as the case may be) in your Swapeki Account in advance of any transaction.  

• You will not allow or facilitate the deposit of Local Currency into your Swapeki Account unless that deposit is made in accordance with the Deposit Requirements stated on our website.  

• You will not allow or facilitate the withdrawal of Local Currency from your Swapeki Wallet to a bank account held in the name of a third party (see Withdrawals).  

• You will not use your Swapeki Account for or in relation to any illegal activity, any prohibited activity, in violation of any laws, statutes, ordinances, or regulations, or in breach of Swapeki’s Export Controls and Sanctions requirements.  

• You are not a national or resident of the United States of America.  

Reference in these Terms to “Local Currency” means fiat or government-issued currency (e.g., NGN, USD, GBP, EUR).  

We retain the absolute right to prevent you from accessing the Platform, without prejudice to any of our accrued rights, where the Platform, at our sole discretion, considers that you have contravened the Terms.  

By opening a Swapeki Account, you accept and agree that Swapeki may, without further notice and in its sole discretion, terminate, suspend, or restrict the account of any customer who uses, or who we reasonably suspect may be using, the Platform or any Swapeki Account in a manner that is inconsistent with the letter or spirit of these Terms.  

Risks  

Before using the Platform, you should ensure that you understand the risks involved in buying, selling or trading digital currencies. Digital currency markets are volatile and prices can fluctuate significantly, which could result in sudden and significant increases or decreases in the value of your assets. This market volatility and other risks involved in buying, selling or trading digital currencies are explained on the risk warning page of the Swapeki website. There may be additional risks not identified in these Terms or in the risk warning page.  

You should carefully assess whether your financial situation and risk tolerance is suitable for buying, selling or trading digital currency. You accept and agree that you are solely responsible for any decision to buy, sell, trade or otherwise hold or deal with digital currency, such decision is a personal decision by you and no responsibility for the consequences of that decision is accepted by Swapeki or by any of its directors, agents, employees, affiliates or other members.  

Confirmation of Gift card values  

The details of every gift card including – card currency, card type, receipt type (where receipts are required), and card value shall be verified and confirmed when you upload the gift card on the Glover Platform.  

Note that Giftcards in some cases even when not used may be infected directly from the providing platform( e.g , Apple, Google, steam, etc) and cannot be redeemed, therefore regarded as invalid card.   

You hereby acknowledge that estimated pay-out amount of a gift card is subject to confirmation and may vary if there is any variance in the card details you provided upon verification and confirmation.  

Prohibited Uses  

You may use the Platform and your Swapeki Account only as permitted by law and as outlined in these Terms. The following uses are strictly prohibited:  

1. Illegal Activity:  

1.  Engaging in any activity that violates applicable laws, regulations, or Swapeki’s policies, including anti-money laundering (AML) and counter-terrorism financing (CTF) regulations.  

1. Fraud:  

 Attempting to defraud Swapeki, its users, or any third parties. This includes using false identification, stolen information, or impersonating any person or entity.  

1. Abuse of Platform:  

1. Manipulating the Platform, such as by exploiting bugs, vulnerabilities, or other loopholes. 

1. Conducting or facilitating attacks on the Platform, including distributed denial-of-service (DDoS) attacks. 

1. Creating multiple accounts to manipulate markets, bypass restrictions, or engage in other unethical activities. 

1. Prohibited Transactions:  

1. Using the Platform to buy or sell illegal goods or services. 

1. Transmitting or receiving funds related to fraud, scam activities, or any prohibited conduct. 

1. Violating sanctions, export controls, or embargo regulations applicable to your jurisdiction or international law. 

Account Security  

You are solely responsible for maintaining the confidentiality of your Swapeki Account credentials, including your password and any two-factor authentication (2FA) methods.  

1. Best Practices:  

1. Use a strong, unique password and update it regularly. 

1. Enable 2FA to add an extra layer of security to your account. 

1. Avoid sharing your login credentials with anyone. 

1. Responsibility:  

1. You are responsible for all actions taken under your account. 

1. Notify Swapeki immediately if you suspect unauthorized access or any breach of security. 

Deposits and Withdrawals  

Swapeki supports deposits and withdrawals in both Local Currency and digital currencies.  

1. Deposits:  

1. Local Currency deposits must be made only from accounts held in your name. 

1. Swapeki is not responsible for any errors resulting from incorrect deposit details or third-party errors. 

1. Withdrawals:  

1. Withdrawals of Local Currency will only be processed to bank accounts in your name. 

1. Swapeki reserves the right to request additional verification before processing withdrawals. 

1. Fees:  

1. All deposits and withdrawals may be subject to fees as detailed on the Platform. 

1. Swapeki may change these fees from time to time, with prior notice. 

1. Processing Times:  

 Swapeki aims to process deposits and withdrawals promptly, but delays may occur due to circumstances beyond our control.  

Transaction Limits  

Swapeki may impose transaction limits on deposits, withdrawals, or trades based on your account type, verification level, and applicable regulations. You may request an increase in these limits by completing additional verification steps.  

Suspension and Termination of Accounts  

Swapeki reserves the right to suspend or terminate your account at its sole discretion under the following circumstances:  

1. Violations of Terms:  

 Breaching any of the Terms outlined in this document.  

1. Suspicious Activity:  

 Suspected involvement in illegal activities, fraud, or prohibited transactions.  

1. Inactive Accounts:  

 Accounts that remain inactive for an extended period may be closed or incur maintenance fees.  

1. Regulatory Compliance:  

 Compliance with legal or regulatory obligations requiring Swapeki to restrict account access.  

Limitation of Liability  

To the maximum extent permitted by law:  

1. No Warranty:  

 Swapeki provides the Platform “as is” without any warranty of any kind.  

1. Liability Limitations:  

 Swapeki will not be liable for:  

1. Losses resulting from unauthorized account access. 

1. Losses arising from the interruption, suspension, or termination of the Platform. 

1. Losses caused by third-party services or external factors outside Swapeki’s control. 

Dispute Resolution  

1. Informal Resolution:  

 Attempt to resolve any disputes with Swapeki informally by contacting customer support.  

1. Arbitration:  

 If informal resolution fails, disputes will be resolved through binding arbitration in accordance with the laws of [Applicable Jurisdiction].  

Links To Other Web Sites 

Our Service may contain links to third-party web sites or services that are not owned or controlled by Swapeki. 

Swapeki has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that Swapeki shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services. 

We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit. 

Termination 

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. 

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service. 

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability. 

Disclaimer 

Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance. 

Governing Law 

These Terms shall be governed and construed in accordance with the laws of without regard to its conflict of law provisions. 

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service. 

Changes 

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 15 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. 

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
